Terms of business

LOOP. services are provided by PFA Dumitru Mihai Tudorel (Romanian sole-trader business), tax ID 54943886, trade register no. F2026031625007, registered office at Mihai Viteazu Street no. 258, Șelimbăr 557260, Sibiu County, Romania, to businesses and other professional customers only. These terms are the basis of every offer; the signed contract prevails.

1. Modules and prices

• Services are offered as modules: Map, Build, Deliver, Support and Improve.
• Prices shown are final. The provider is not registered for VAT, so no VAT is added. For business customers in other EU countries the reverse-charge mechanism applies where the law requires it.
• Prices differ by the customer's region (Romania; Central & Southern Europe; Western & Northern Europe, UK and rest of world; United States & Switzerland). The region is set by the country where the customer is established.
• For Build, the price shown is the starting price; the final price is fixed in writing after the Map.
• Offers are valid for 30 days. [to confirm]

2. Launch offer

The first 3 customers to sign a contract get 15% off Map, Build and Deliver. In return, the customer gives a short written testimonial and agrees to the project being presented as a case study, with no confidential data. Monthly plans are not discounted.

3. Fixed scope, fixed price

For Build, the scope is agreed in writing based on the Map. Any change of scope goes through a written change request, with price and timeline agreed before work starts.

4. Payment

• Map: 100% on order; fully credited against Build if Build is ordered within 60 days.
• Build: 40% at start, 30% after the mid-project demo, 30% on acceptance.
• Deliver: at go-live.
• Support and Improve: monthly, in advance.
• Invoices are issued in lei for customers in Romania and in euro for all others, payable by bank transfer.

5. Stop after any module

The customer can stop after any module and keeps everything delivered and paid for up to that point.

6. Remote work and travel

For customers outside Romania, services are delivered remotely, in English. On-site visits are available on request and billed separately: travel and accommodation at cost, plus the working day at the region's rate. Response times are counted in Romanian business days and hours.

7. Warranty

60 days of free defect fixes after go-live, with or without a Support plan.

8. Customer data

The data belongs to the customer. On request and when the collaboration ends, we provide a full export in a common format (CSV/Excel).

9. Rights to the code

• Standard, included: after final payment, the customer receives the source code in their own repository and an unlimited, perpetual right to use and modify the delivered application. We may reuse our generic, non-customer-specific components.
• Optional: for an additional 15% of the Build price, the economic copyright in all code written for the customer is fully assigned in writing (Romanian Law no. 8/1996).

10. Monthly plans

Support and Improve are monthly and can be cancelled with 30 days' notice. Improve requires an active Support plan. Third-party usage (for example SMS) is billed at cost.

11. Confidentiality

Information about the customer's company stays confidential; we sign a non-disclosure agreement on request.

12. Liability

Total liability for a module is limited to the price of that module. [to be checked by the lawyer]

13. Governing law

Romanian law applies. Disputes are settled amicably where possible, otherwise by the competent courts at the provider's registered office. [to be checked by the lawyer]
